A registered agent is a third-party registered in the same state in which the corporation was established and is designated to accept legal documents and notifications from the Secretary on behalf of a corporate entity. All corporations and Limited Liability Companies (LLCs) must choose a person or entity to act as their registered agent.
Because it’s required by law if your business is a corporation or LLC. A business that doesn’t have a designated RA may run the risk of falling out of good standing with the state of Florida. Penalties can include license revocation, fines and the inability to enter into legal contracts and/or gain access to the state court system. If that happens and you need to get back into the state’s good graces, reinstatement could include even more monetary, civil and possibly criminal sanctions to boot.
Let’s not forget that without a RA, you could be caught completely unaware of a legal claim or judgment that has been filed against you.
You can, but you probably shouldn’t.
Having a third-party Registered Agent gives you peace of mind that you will be saved from the embarrassing situation of being served with legal papers in front of clients, vendors or neighbors. It also gives you the flexibility to take a vacation, close early or move locations without causing problems or the hassle of filing more paperwork.
